XXX有限公司授权 XXX LTD 公司作为一般经销商在 尼日利亚 进行新型冠狀病毒核酸检测试剂盒和仪器设备的推广和宣传。被授权公司有义务维护XXX有限公司及其产品的形象和声誉，不得有任何损害XXX有限公司形象信誉的行为，诚信经营。如有违反，XXX有限公司有权收回已授予的经销权。
XXX Inc. authorized XXX LTD as a general distributor to promote and publicize COVID-19 nucleic acid detection kits and instruments in Nigeria. The authorized company is obliged to maintain the image and reputation of XXX Inc. and its products, additionally forbidden any behavior that damages the reputation of XXX Inc. and conducts business in good faith. In case of violation, XXX Inc. has the right to withdraw the authorized distribution right.
 
此授权书仅作为被授权公司推广和宣传之用，未经XXX有限公司特别授权许可，不得以XXX有限公司的名义对外签署任何销售合同；未经XXX有限公司特别授权许可，不得以自身或其他第三方公司的名义签署销售XXX有限公司产品的合同。
This authorization is only used for promotion and publicity by authorized companies. Without the special authorization of XXX Inc., no sales contract shall be signed in the name of XXX Inc. A special authorization license of a joint-stock limited company shall not sign a contract to sell the products of XXX Inc. in the name of itself or other third-party companies.
 
授权有效期限是自 2020 年 5 月 29 日至 2021 年 5 月 29 日。如果在授权期内有签署独家代理商，则此份授权即时失效，最终解释权由圣湘生物所有。
This authorization will enter into force on 29th, May, 2020 and remain valid until 29th, May, 2021. If there is an exclusive agent signed during the authorization period, therefore this authorization is invalid, the final interpretation right shall be owned by Sansure biotech.
