Add: XXX, China Tel:+86-XXX Fax:+86-XXX DISTRIBUTOR AGREEMENT The president of XXX CO., LTD.designated as the party “A” hereby and XXX CO designated as the party “B”, agree to the following contract: 该协议中，XXX CO., LTD.为”A” 方 XXX CO 为”B”方。 双方同意按下列条件发展业务。 1.”A” has the exclusive authority to produce and distribute the goods and services under the legally registered brand name and the trade mark of XXX. “A”方合法注册 XXX商标，并拥有独家生产和销售产品和服务的权利。 2.This contract shall be effective from the day which both of the party “A” and party“B” sign this agreement, and deadline with 2 year. That is from April 20,2021 to April 20,2023. The annual confirmation communication for the contract shall be agreeded in written form before one month of the anniversary date of this contract. 该合同自“A”“B”双方签署的那天起开始生效，有效期为两年，即从 2021 年4月 20日至2023 年4月20日。每年的交流会应该在该协议周年的前一个月，以书面形式进行。 3.“B” shall gain the right to sell the XXX goods and services of “A’s”during the contract period. 在协议有效期间，“B”方从“A”方获得销售 XXX 产品和服务的权利。 4.“A” hereby nominates “B” as the “A’s” sales distributer in Kuwait and Egypt area during the contract period. 在协议有效期间“A”方授权“B”方为科威特和埃及的销售经销商。 5.“A” and “B” negotiate the basic price of “B’s” order each year, according to the market. “A”方和“B”方每年根据市场协商“B”方的订单价格。 6.“B” pay for the publicity expenses related to his business in Kuwait and Egypt. “B”方支付在科威特和埃及销售的相关的广告宣传费用。 7.“B” shall fulfill the duty to sell only “A’s” goods and services, but not to sell nor to make any imitation or pseudo XXX goods. “B”方要履行只销售“A”方的产品和服务的义务。严禁销售和生产假冒伪劣的 XXX产品。 8. “A” shall supply the amount of goods and services to “B” according to “B’s” order. “A”方要根据“B”方的订单，向“B”方提供产品和服务。 9. .Each party can negotiate the way of export and payment for better arrangement. 双方协商出口方式和付款方式。 10.Each party shall keep the mutual business information and knowledge and not release any piece of them to the third party. 双方要共享商业信息和知识，并且不能透露给第三方。 10.Matters not dealt with by this agreement or matters concerning the interpretation of the terms and conditions of this agreement shall be resolved by consultation between the parties. 此协议中未涉及的事项或此协议的条款中涉及的事项均需由双方协商解决 11. The court of jurisdiction for any dispute arising in relation to this agreement shall be decided by consultation between the parties. 由此协议引发的有关司法管辖权的任何纠纷，要由双方协商解决 12.“A ” or “B” can initially propose the revision of the article of this contract and therelated article can be revised with the full agreement of the next contract. “A”方或者“B”方如果修改本协议中的条款，双方达成一致意见后可以在下一个协议中修改相关协议。 13. Each party shall have the obligation to follow this faithfully and sincerely. 双方要 真诚如实的履行本协议。 14.In case of any discrepancy like defective goods or delayed delivery not faithful to mutually agreed proforma invoices, “A” shall negotiate with “B”. After receiving the goods, “B” shall confirm the quality within 1 month, and give the feedback to “A” if there are any defective one. If “B” need to be compensated the damage in the best favor of “B”, the payment should be made according to the size of the order and the damage of the goods, and should be negotiate with both of the parties. 如果有和形式发票不符合之处，如不良品，延误交货期等等，“A”方要与“B”方协商解决。 在收 到货物的一个月之内, “B” 方要对货物质量进行确认，如果存在任何不良品，“B”方要对“A”方进行反馈， 如果需要对“B”的损失进行补偿，补偿金额 应该根据此订单的大小以及货物的损坏程度由双方协商决定。 The undersigned agree to observe the terms stated above.
