Party B agrees to sell and develop sub-distributors of Party B’s “XXX” brand products in the range of the above mentioned authorized territory. 3．Party A shall consign the goods upon the payment is received before delivery. 4．Both parties shall preserve either’s interests, either Party should not disclosure any important information or business secret of the other Party to any other institute or individual in the period of validity and two years after expired. 5．Any other unspecified matter to this Agreement shall be negotiated by both Parties and there of subject to the written documents signed by both Parties. Any supplementary agreement to this Agreement shall be legal validity and binding both Parties. 6．Party A will provide Party B by 2% to 6% spare parts for the units that out of warranty and will be covered with in a period 3 years and Party B will pay the cost of these spare parts according to the agreed price list. 7．Party A Shall have the obligation to provide warranty card and put it in the box. The warranty shall do as the requirement of the NTRA. 8．Party A shall provide the goods with print attached in every gift box, with information: importer’s name, the date of manufacture, the country of origin, brand and model number. 9．This Agreement comes into force from 01st (day) Feb (month) 2020(year) till 01st (day) Feb (month) 2025(year), the term of validity is Five year. After this Agreement expiration will be re-enacted a new one contract. 10．Arbitration. Any dispute or disagreement in connection with interpretation of this contract or the agreement to be signed or the performance non-performance there of shall be settled between Party A and Party B with mutual cooperation in good faith. All claims which cannot amicably settled between Party A and Party B, shall be submitted to arbitration according international law, and carry on arbitration at the Shenzhen arbitration committee. 11．This Agreement is in duplicate. Each Party holds one. This Agreement will come into force since signing day. 12.Party A’s Manufacturer： 1: XXX Co., Ltd. 2: XXX Co., Ltd. 12．The right of final interpretation belongs to Party A.
